제77조의2 제2차 납부의무

법인의 재산으로 그 법인이 납부하여야 하는 보험료, 연체금 및 체납처분비를 충당하여도 부족한 경우에는 해당 법인에게 보험료의 납부의무가 부과된 날 현재의 무한책임사원 또는 과점주주(「국세기본법」 제39조 각 호의 어느 하나에 해당하는 자를 말한다)가 그 부족한 금액에 대하여 제2차 납부의무를 진다. 다만, 과점주주의 경우에는 그 부족한 금액을 그 법인의 발행주식 총수(의결권이 없는 주식은 제외한다) 또는 출자총액으로 나눈 금액에 해당 과점주주가 실질적으로 권리를 행사하는 주식 수(의결권이 없는 주식은 제외한다) 또는 출자액을 곱하여 산출한 금액을 한도로 한다.
If the property of a corporation is insufficient to cover the insurance premiums, late fees, and collection expenses that the corporation is obligated to pay, the unlimited liability partner or the majority shareholder (referring to a person falling under any of the subparagraphs of Article 39 of the Framework Act on National Taxes) as of the date the obligation to pay the insurance premiums was imposed on the corporation shall bear the secondary payment obligation for the insufficient amount. However, in the case of a majority shareholder, the amount shall be limited to the amount calculated by multiplying the insufficient amount by the ratio of the number of shares (excluding shares without voting rights) for which the majority shareholder actually exercises rights or the amount of investment to the total number of issued shares (excluding shares without voting rights) or the total investment amount of the corporation.
사업이 양도ㆍ양수된 경우에 양도일 이전에 양도인에게 납부의무가 부과된 보험료, 연체금 및 체납처분비를 양도인의 재산으로 충당하여도 부족한 경우에는 사업의 양수인이 그 부족한 금액에 대하여 양수한 재산의 가액을 한도로 제2차 납부의무를 진다. 이 경우 양수인의 범위 및 양수한 재산의 가액은 대통령령으로 정한다.
In the case of a business transfer or acquisition, if the property of the transferor is insufficient to cover the insurance premiums, late fees, and collection expenses for which the transferor had an obligation to pay before the transfer date, the transferee of the business shall bear the secondary payment obligation for the insufficient amount, limited to the value of the acquired property. In this case, the scope of the transferee and the value of the acquired property shall be determined by Presidential Decree.
